Terms of Service

These Terms of Service ("Terms") form a binding agreement between Pepliful ("Pepliful", "we", "us") and the business or individual ("you", "Brand Operator") that creates an account or otherwise uses the Pepliful platform, websites, and APIs (collectively, the "Service"). By creating an account, clicking "I agree", or using the Service, you accept these Terms. If you do not agree, do not use the Service.

1. The Service

Pepliful provides on-demand fulfillment of research-use peptide products under your brand. You submit orders through the dashboard, an integration, or our public order API; we pick, pack, label, and ship those orders to the End Customers you designate, debiting your wallet for the wholesale cost of each order.

2. Eligibility and accounts

  • You must be at least 18 years old and able to enter into a binding contract.
  • You must register on behalf of a legitimate business and provide accurate information.
  • You are responsible for safeguarding your credentials and for all activity that occurs under your account.
  • You must promptly notify us of any unauthorized use of your account or any other security incident.

3. Research-use only products

All peptides and related products fulfilled through the Service are intended for laboratory research use only. They are not drugs, dietary supplements, cosmetics, or medical devices. They are not for human or animal consumption, in vitro diagnostic use, or any therapeutic application, and have not been evaluated by the U.S. Food and Drug Administration or any equivalent authority.

You agree that you will not, and will not authorize or encourage any third party (including any End Customer) to: (a) consume the products or administer them to humans or animals; (b) market or sell the products as drugs, supplements, foods, or cosmetics; (c) make any medical, therapeutic, anti-aging, weight-loss, performance-enhancing, or other health-related claims about the products; or (d) use the products in violation of any law.

Your storefront, marketing, packaging copy, and customer-facing communications must clearly label the products as "for research use only" and must not imply any human or veterinary use.

4. Acceptable use

You will not, and will not allow any third party to:

  • Use the Service for any unlawful, fraudulent, deceptive, or infringing purpose.
  • Resell the products outside of jurisdictions where doing so is lawful, or to any person reasonably believed to intend human consumption.
  • Reverse engineer, scrape, overload, or interfere with the Service.
  • Misrepresent your identity, your business, or your relationship with Pepliful.
  • Use the Service to ship to embargoed countries or to parties on applicable sanctions lists.

We may suspend or terminate accounts that violate these requirements, and we may refuse or cancel any individual order at our discretion.

5. Pricing, wallets, and subscriptions

  • Wholesale prices are shown in the catalog and are charged against your wallet balance at the time you submit an order. We may change wholesale prices with notice; changes are not retroactive.
  • Subscription plans renew automatically at the stated interval until cancelled. You can cancel anytime from your dashboard; cancellation takes effect at the end of the then-current billing period.
  • Wallet top-ups, subscription fees, and other charges are non-refundable except where required by law or expressly stated in these Terms.
  • You are responsible for any taxes, duties, or fees imposed on your sales to End Customers.
  • If a wallet balance is insufficient to cover an order, the order will not ship until the balance is topped up.

6. Brand kit, content, and license

You retain all rights to your logos, brand name, copy, and other content that you upload ("Brand Content"). You grant Pepliful a worldwide, royalty-free, non-exclusive license to host, copy, transmit, display, print on labels and packing slips, and otherwise use the Brand Content as necessary to operate the Service and fulfill orders on your behalf. You represent and warrant that you have all rights necessary to grant that license and that the Brand Content does not infringe any third-party rights or violate any law.

7. Orders and fulfillment

  • Orders are typically released to production within 1–2 business days. Delivery time depends on the carrier and destination.
  • Title and risk of loss for shipped products pass to you when the carrier accepts the package.
  • You are the merchant of record for your End Customers and are responsible for your own customer service, refunds, chargebacks, and tax collection.
  • We may decline to fulfill any order that we reasonably believe is unlawful, fraudulent, or inconsistent with these Terms.

8. Shipping issues, lost packages, and returns

If a package is lost in transit or arrives damaged, contact support@pepliful.comwith the order number and supporting evidence within 30 days. We will, at our option, reship the order or credit your wallet for the wholesale cost. Because the products are research-use only, we generally do not accept returns from End Customers; returns to the address you set in your brand kit are at your own risk and expense.

9. Data processing

When you submit End Customer information through the Service, you are the "controller" and Pepliful is the "processor" of that information. Our processing of that information is governed by the Pepliful Data Processing Agreement, which is incorporated into these Terms by reference.

10. Intellectual property

Pepliful owns the Service, including its software, design, and documentation, and all related intellectual property rights. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. No other rights are granted.

11. Disclaimers

THE SERVICE AND THE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, PEPLIFUL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PRODUCT WILL MEET ANY PARTICULAR SPECIFICATION BEYOND WHAT IS STATED ON ITS CERTIFICATE OF ANALYSIS.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PEPLIFUL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PEPLIFUL IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You will defend, indemnify, and hold harmless Pepliful and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your Brand Content; (c) your sale, marketing, or labeling of any product to an End Customer; (d) any human or animal consumption of any product sold through your storefront; or (e) your violation of these Terms or any law.

14. Term and termination

These Terms remain in effect while your account is open. Either party may terminate the relationship at any time. We may suspend or terminate your access immediately if we believe you have violated these Terms or if continuing to provide the Service to you would create legal or operational risk. On termination, your right to use the Service ends; sections that by their nature should survive termination will survive.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. Each party waives any right to a jury trial.

16. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date and, for material changes, provide additional notice. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.

17. Miscellaneous

These Terms, together with the Privacy Policy and the Data Processing Agreement, are the entire agreement between you and Pepliful regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
